Executive-compensation advisory
Executive-compensation advisers help boards design pay structures that attract leadership, support strategy and remain governable under investor, regulatory and public scrutiny.
Definition
Executive Compensation Advisory is independent or management-side advice on salary, incentives, equity, benefits, performance measures, disclosure and governance for senior executives and directors.
Overview
Compensation design connects labour markets, strategy, risk, accounting, tax, securities rules and shareholder expectations. Boards must judge both quantum and structure: a competitive package can still produce poor incentives, excessive risk or weak alignment. Adviser independence and the identity of the client—board committee or management—should be explicit.
