Definition

Financial Due Diligence (FDD) Advisory is the transaction-focused analysis of earnings, cash flow, working capital, net debt, accounting policies, forecasts and financial risks beyond the scope of a statutory audit.

Overview

Buy-side work helps an acquirer understand the financial basis of value and transaction terms; vendor due diligence prepares an independent analysis for potential bidders. FDD does not provide an audit opinion or determine value by itself. It informs valuation, financing, warranties, completion mechanisms and integration priorities.
