Private equity secondaries
Private equity secondaries provide liquidity through the transfer of existing fund interests or portfolios and through manager-led transactions involving assets held by established funds.
Definition
Private equity secondaries are transactions involving pre-existing private-fund interests, portfolios or assets, allowing investors or managers to create liquidity before the underlying investments would otherwise be realized.
Market segments
LP-led
An investor sells one or more fund interests to manage liquidity, allocation, concentration or administration.
GP-led
A manager organizes a transaction involving fund assets, often through a continuation vehicle.
Structured liquidity
Preferred equity, portfolio financing and other structures provide liquidity without a complete sale.
Transaction process
- Portfolio definition: select interests or assets and clarify objectives.
- Information preparation: assemble fund, asset, cash-flow and legal information.
- Buyer process: approach qualified secondary investors and obtain indications.
- Diligence and pricing: assess remaining value, commitments, terms and timing.
